Article I-Name
This organization shall be known as the Truman Advertising and Public Relations Club: Student Chapters of the American Advertising Federation and International Association of Business Communicators. It shall be affiliated with the Academic Division of American Advertising Federation and the 9th district of AAF, and with the International Association of Business Communicators.

Article II-Purposes
1) The purposes of the chapter shall be to:
a) foster communication excellence through hands-on experience and professional insight into the fields of public relations, promotions, advertising, marketing, and organizational communication;
b) promote professional values and ethics;
c) apply the skills, creativity and energy of communication;
d) develop the individual abilities of its members;
e) promote fellowship and free exchange of ideas]

Article III-Membership
1) Membership shall be open to students currently registered for at least one course for credit within Truman State University. The students shall be in good academic standing with a G. P. A. of at least 2.0.
2) Application for membership must be in writing and accompanied by a check for the annual dues.
3) Applicants must purchase a student membership in either AAF or IABC national professional associations.
4) After approval, each applicant shall be notified of acceptance for membership by a letter, signed by the chapter president and the chapter’s academic adviser.
5) Truman Advertising and Public Relations Club recognizes the equality of all people, and does not discriminate on any basis including that of race, color, religion, national origin, ancestry, sex, age, or handicap.

Article IV-Professional Affiliation
1) The local chapter will attempt to maintain dual professional affiliation with the American Advertising Federation and the International Association of Business Communicators.
2) Whereas an organized student chapter of the AAF is required for schools to participate in the National Student Advertising Competition, the chapter will maintain a minimum of 10 members of the AAF. If the local chapter has fewer than 10 members of the AAF, new members may be required to select AAF for their required professional association membership.
3) Members planning to participate in the National Student Advertising Competition must belong to the AAF.
4) Whenever possible, the chapter will also maintain a minimum of 10 student members of the AAF, but has fewer than 10 members of the IABC, new members may be required to select the IABC for their required professional association membership.
5) When the chapter has a minimum of 10 student members in both the AAF and IABC, new members may choose either association for their required professional association membership.

Article IV-Finances
1) Applicants who join only the AAF or IABC shall pay local chapter dues of $10. Applicants who joins both the AAF and IABC what have this fee waived.
2) Any member of the chapter whose dues have been in arrears for one quarter shall be notified by the treasurer, citing the provision of this section. If such arrears are not paid within 30 days, the delinquent member shall be notified again and granted 30 days grace. At the end of this period, if dues remain unpaid, his or her membership shall be forfeited. Only members whose dues are paid shall be entitled to vote at chapter elections.

Article V-Board of Directors
1) The management of the affairs of this chapter shall be vested in the Board of Directors.
2) The Board of Directors shall include the following elected officers: president, vice president, secretary and treasurer.
3) A schedule of regular meetings of the Board of Directors shall be set up by the board within 30 days after the beginning of the academic year. Special meetings may be called by the president. Notice must be given five days in advance of the meeting.
4) All actions of the Board of Directors shall be subject to reversal by the chapter with a two-thirds vote of those present, if a quorum.
5) In the case of death or resignation of any officer or director, the Board of Directors shall elect a successor, who shall take office immediately and serve until the next annual election.

Article VI-Committees
1) There shall be four permanent standing committees: Activities, Communication, Membership, and Finance.
2) The President may appoint such committees as necessary to conduct chapter business. No committee shall have the authority to commit the chapter on matters of policy or to create financial obligations. All committee plans and actions shall be subject to the approval of the Board of Directors.

Article VII-Duties of Officers and Directors
1) The president shall be the chief executive officer of the chapter and of the Board of Directors and shall preside over all meetings of the chapter and the Board of Directors. The president shall chair the Activities Committee. The president shall appoint all temporary committee chairpersons, and such appointments are subject to the approval of the Board of Directors. The president and the treasurer shall sign all written contracts and obligations of the chapter, which must have prior approval of the Board of Directors to be legal and binding.
2) The vice president shall be vested will all the powers and shall perform all the duties of the president in the absence of the president. The vice president shall chair the Membership Committee.
3) The secretary shall keep a true and accurate record of all proceedings of the chapter and send out all notices. The secretary shall chair the Communication Committee.
4) The treasurer shall receive and deposit in the name of the chapter, in a bank or trust company, all money; issue receipts; make all authorized disbursement; and, at each meeting, render an itemized statement, certified by and auditing committee. The treasurer shall chair the Finance Committee.
5) The Board of Directors shall have charge of the general management of the chapter; hear all grievances; authorize and audit all expenditures and approve all appointments.

Article VIII-Meetings
1) The annual meeting of the chapter, for the purpose of election and installation of officers and other general business, shall be held in the spring semester each year. Written notice of same shall be sent to each member at least two weeks prior, including the date, hour and place of the meeting.
2) Regular meetings may be held at such times and places as the Board of Directors, or by written request by any five members in good standing, provided all members are notified in writing of time, place and purpose of the meeting.

Article IX-Quorum
1) Twenty-five percent of the active members shall constitute a quorum for the transaction of business at any meeting of the chapter
2) One-third of the Board of Directors shall constitute its quorum for the transaction business.
3) A simple majority of any committee shall constitute a quorum.

Article X-Adoption of Bylaws
This Constitution and Bylaws shall become the constitution and bylaws of the Truman Advertising and Public Relations Club: Student Chapters of the American Advertising Federation and International Association of Business Communicators. By a two-thirds vote of the members present, if a quorum, at any regular or special meeting, providing members have been given written notice at least one week in advance.

Article XII-Parliamentary Authority
1) Robert’s Rules of Order, Revised, shall be the authority of this chapter in all matters not covered by these bylaws.

Article XIII-Amendments
The Constitution and Bylaws of the chapter may be amended at any regular meeting of the chapter by a two-thirds vote of the members present at the meeting. A quorum must be present.
